Yes that is the direct replacement for 8333C8665. The ceiling assembly would depend on if it is a ducted or non-ducted application. If it is ducted, is it later or center ducted? Only lateral ducted ceiling assemblies come with control boxes. You will need to order that separate if it is non-ducted or center ducted. That a/c is a direct replacement though, so unless there is something wrong with the parts inside you do not have to change them.
